2. Ordering and payment

  1. You pay in full upfront in Australian dollars through Stripe. All prices include GST, and we'll issue a tax invoice.
  2. We don't store your full card details; Stripe processes payment under its own terms.
  3. Your order starts when you have accepted these terms, payment is confirmed and you've uploaded readable Materials.

3. Turnaround

  1. Business days are Monday to Friday, excluding public holidays in Western Australia, counted from the business day after your order starts.
  2. If we need more information, the clock pauses until you reply.
  3. If files fail our security scan or can't be opened, we'll ask for new copies and the clock pauses.
  4. If we'll miss the turnaround for reasons on our side, we'll tell you and you can choose to wait or get a full refund.

4. No guarantee of outcome

Our review is an informed opinion based on the Materials you give us. We do not guarantee that your idea will be patentable, safe, manufacturable at a given cost, or commercially successful, or that we or anyone else will invest in, build or license it. You are responsible for decisions you make using the review.

5. Your intellectual property

  1. You keep ownership of your Materials and Idea. Ordering a review doesn't transfer any rights to us.
  2. You give us a limited licence to store, copy and analyse the Materials only to provide the review (including via our secure hosting and file-scanning providers).
  3. You own the written review we deliver to you, for your own use. We keep our general know-how, methods and templates.
  4. You confirm you have the right to share the Materials.
  5. Any prototype, co-development or licensing work needs a separate written agreement.

6. Confidentiality

  1. Confidential Information means all information disclosed by one party (the Discloser) to the other (the Recipient) in connection with a review, whether before or after you accept these terms and in any form, including your Materials and any designs, drawings, files, specifications, plans and descriptions you upload or submit through the website, your Idea, and our written review, but excluding information that:
    • (a) is or becomes publicly available other than through a breach of this clause 6;
    • (b) the Recipient can show it already lawfully knew, without restriction, before disclosure;
    • (c) the Recipient lawfully receives from a third party without a duty of confidence; or
    • (d) the Recipient develops independently without using the Discloser's Confidential Information.
  2. The Recipient must keep the Discloser's Confidential Information confidential and use it only to deliver or receive the review under these terms (the Purpose).
  3. The Recipient may disclose Confidential Information only:
    • (a) to its employees, contractors and professional advisers who need to know it for the Purpose;
    • (b) in our case, to our service providers who need it for the Purpose, including secure hosting, file-scanning (malware checking) and AI or analysis tool providers, each bound by confidentiality obligations no less protective than this clause 6; you approve these providers by accepting these terms; or
    • (c) where required by law, a court or a stock exchange, after (where lawful) giving the Discloser prompt notice so it can seek protection. The Recipient is responsible for anyone it discloses to under (a) or (b) complying with this clause.
  4. On the Discloser's written request, the Recipient must promptly return, delete or destroy the Discloser's Confidential Information, except copies it must keep by law or held in routine automatic backups, which remain subject to this clause 6 until deleted in the ordinary course.
  5. Ownership. You keep ownership of your Materials, Idea and designs. Disclosure gives us no rights in them other than the limited licence in clause 5.2 to use them to perform the review.
  6. This clause 6 survives completion, cancellation or termination of any order and continues for 5 years from the last disclosure, and for trade secrets and unpublished inventions, for as long as they remain confidential.
  7. Damages may not be an adequate remedy for breach of this clause, and the Discloser may seek injunctive relief in addition to any other remedy.

7. Cancellations and refunds

  1. Before work starts: cancel by emailing [email protected] and we'll give a full refund.
  2. After work starts: you can cancel, and we'll refund the fee less a fair amount for work already done. Once the review is delivered, no change-of-mind refund applies.
  3. Australian Consumer Law: our services come with guarantees that can't be excluded under the Australian Consumer Law, including that they'll be provided with due care and skill, be fit for any purpose you made known, and be supplied within a reasonable time. If there's a major failure, you can cancel and get a refund, or get compensation for the reduced value. If a failure isn't major, we can fix it within a reasonable time; if we don't, you can get a refund. Nothing in these terms limits these rights.
  4. Refunds go back to your original payment method through Stripe.

8. Limitation of liability

  1. Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or other law that can't be excluded.
  2. To the extent the law allows, where our services aren't of a kind ordinarily acquired for personal, domestic or household use, our liability for a failure to comply with a consumer guarantee is limited to supplying the services again or paying the cost of having them supplied again.
  3. To the extent the law allows, our total liability arising from a review is limited to the fee you paid for it, and we're not liable for indirect or consequential loss, such as lost profits or opportunities.
  4. These limits don't apply to liability for fraud, wilful misconduct, or breach of clause 6 (Confidentiality).

9. Privacy

We handle your personal information under our Privacy Policy on innovisionlabs.com.au.

10. General

  1. We may update these interim terms (for example, after legal review). Changes don't affect orders already paid.
  2. Transfer to a company. We may assign or novate our rights and obligations under these terms to any company or other entity controlled by Adeiza Bello that carries on all or part of the Innovision Labs business (including a proprietary limited company registered after you order), by notice to you by email or in your dashboard on the website. You consent to this now, in advance, by accepting these terms. From the notice date, that company takes over our obligations to you, including for orders in progress, and your rights (including refunds and Australian Consumer Law rights) continue against it.
    • Business details: after a transfer, the ABN, GST registration, ACN, legal name and Stripe account shown on invoices and receipts will change to the company's. You accept those changes in advance; tax invoices will be issued by whichever entity supplied the service.
    • Successors: these terms bind and benefit each party and its successors and permitted assigns.
  3. The laws of Western Australia govern these terms, and each party submits to the exclusive jurisdiction of the courts of Western Australia and the courts of appeal from them.
  4. Questions or complaints: [email protected].
